Alter8ight (“we”, “us”, “our”) provides a platform for businesses and freelancers to connect for various digital services, including website development, app development, software solutions, game development, graphics design, and other digital services. These Terms and Conditions (“Agreement”) govern your use of the services provided by Alter8ight, and by accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for an account or accessing the Alter8ight platform, you agree to comply with these Terms and Conditions. If you do not agree, you may not use the platform.

2. Definitions

  • Client: A person or organization that hires freelancers or service providers via Alter8ight.
  • Freelancer: An individual or entity offering services through the Alter8ight platform.
  • Employee: A person employed directly by Alter8ight.
  • User Content: Any content (including text, images, videos, and other materials) that users post, upload, or share on the Alter8ight platform.
  • Design Project: Any task or service, including but not limited to website development, app development, software solutions, and graphic design projects posted on Alter8ight.

3. User Content

You are responsible for all User Content you upload or share on the Alter8ight platform. By submitting User Content, you grant Alter8ight a worldwide, royalty-free, non-exclusive license to use, display, and distribute it for the purpose of facilitating your use of the services.

  • Ownership: You retain ownership of all User Content, but you give Alter8ight permission to use it as necessary to provide services.
  • Prohibited Content: You agree not to post content that is illegal, harmful, defamatory, offensive, or infringes on intellectual property rights.

4. Accounts and Registration

You must create an account to access Alter8ight’s services. You agree to provide accurate, complete, and up-to-date information during the registration process.

  • Account Security: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
  • Inactive Accounts: Alter8ight reserves the right to deactivate or delete inactive accounts.

5. Client and Freelancer Relationships

  • Non-Circumvention: Clients and freelancers agree not to circumvent Alter8ight by directly contacting one another to bypass the platform for payments or services.
  • Exclusivity: Freelancers agree not to work with clients for the same project outside of the platform during the term of their contract with Alter8ight.

6. General Payment Terms

Clients agree to pay for services rendered through Alter8ight in accordance with the agreed-upon terms. Payments are made directly through Alter8ight, and freelancers are paid according to the payment schedule set forth in the contract.

  • Client Payment: Clients must provide valid payment details and funds before a freelancer begins work on a project.
  • Designer Fee: Freelancers receive payments according to the agreed-upon fee. Alter8ight may charge a service fee based on the total project amount.
  • Payment Terms: Payments are processed via Alter8ight’s secure payment gateway, and clients agree to pay any applicable fees or taxes.
  • Alter8ight Credits: Clients and freelancers may use Alter8ight credits to pay for services, subject to the platform’s terms.
  • Refunds: Refund requests must be submitted within [X] days of payment, and the eligibility for a refund depends on the nature of the service.

7. Design Transfer Agreement

Upon the completion of a project, the freelancer will transfer ownership of the design or product to the client once full payment is made. The client will hold all rights to the final deliverables.

8. Limitations and Restrictions

Alter8ight reserves the right to restrict access to its services or remove User Content that violates these Terms.

  • Partner Integrations: Alter8ight may integrate third-party services (e.g., payment processors, tools) into its platform, and usage of these services will be subject to their respective terms.
  • Photo and Video Gallery: Freelancers may upload photos, videos, or portfolios to showcase their work, subject to Alter8ight’s content guidelines.

9. Service Ownership

The intellectual property rights for any service or project developed through Alter8ight are subject to the terms outlined in the Design Transfer Agreement.

10. Indemnity

You agree to indemnify, defend, and hold harmless Alter8ight, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and costs arising from your use of the platform, violation of these Terms, or infringement of third-party rights.

11. Third Party Sites & Ads

Alter8ight may display ads or links to third-party sites. We are not responsible for the content or practices of third-party websites.

12. Term and Termination

This Agreement will remain in effect until terminated by either party. Alter8ight may suspend or terminate your account if you violate these Terms. You may terminate your account by contacting Alter8ight support.

13. General Disclaimer

Alter8ight is not responsible for the actions or conduct of clients or freelancers. We do not guarantee the success or results of any project or service performed on the platform.

14. Mandatory Statutory Rights

Nothing in these Terms affects your statutory rights as a consumer, which cannot be waived or altered by contract.

15. Limitation on Liability

Alter8ight’s liability is limited to the maximum extent permitted by applicable law. We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

16. Regional Provisions

A. The following Section applies to users in Australia

Specific consumer protections and statutory rights apply under Australian law, including provisions for refunds and dispute resolution.

B. The following Section applies to users in the EEA and Switzerland

As a user within the European Economic Area (EEA) and Switzerland, your rights are protected under the General Data Protection Regulation (GDPR). You may have additional rights to request access, rectification, or deletion of your personal data.

C. The following Section applies to users in Nigeria

Users in Nigeria are entitled to statutory rights in accordance with Nigerian Consumer Protection Laws.

17. Limitation Related to Adobe Stock

Any designs or assets licensed through Adobe Stock or similar third-party providers are subject to their respective licensing agreements. Alter8ight is not responsible for the legality of any third-party content used in projects.

18. Changes to General Terms and Conditions

Alter8ight reserves the right to modify these Terms at any time. We will notify users of significant changes via email or on our platform. Continued use of the platform after such changes constitutes acceptance of the updated Terms.

19. Privacy and Use of Cookies

Alter8ight’s Privacy Policy governs how we collect, store, and use your personal information. By using our platform, you agree to our use of cookies as described in our Privacy Policy.

20. Disputes

Any disputes arising out of or related to these Terms or the use of Alter8ight will be resolved through binding arbitration in accordance with the laws of [Insert Jurisdiction]. Any legal action will be conducted in the courts located in [Insert Jurisdiction].
